The role supports timely, well-documented board and shareholder decisions, maintains reliable legal-entity records, coordinates corporate actions and entity changes, and helps ensure a clear audit trail for governance activities. The Governance Specialist works mainly independently as the Netherlands governance subject-matter specialist. The role provides governance process guidance, documentation support, coordination, and escalation. Matters requiring formal legal advice, legal interpretation, privilege, legal risk assessment, or binding legal positions are escalated to internal or external counsel.
